1. ABOUT THE TERMS FOR WISE FOREX WIDGET

1.1 The Wise Forex Widget service (“the Service”) is a free service provided by Wise which allows users to enhance financial content on their website and provide their visitors with real-time exchange rate information by integrating the Services to their website.

1.2 These terms and conditions apply to the use of our Service. It describes the rights and obligations of you and us and forms a legally binding agreement between users (‘you”) and Wise Payments Limited (Wise/us/we) when you integrate the Wise Forex Widget (the “Terms”).

1.3 Wise is authorised by the UK Financial Conduct Authority (FCA) under the Electronic Money Regulations 2011, Firm Reference 900507, for the issuing of electronic money.

1.4 By using the Service, you agree to these Terms, in addition to any applicable Customer Agreement, Acceptable Use Policy, Privacy Policy and Cookie Policy. In the event of a conflict between such documents, these Terms shall prevail.

2. YOUR RIGHT TO USE THE SERVICE

2.1 Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Service solely for displaying Wise Forex Widget on your website. Any use of the Service not specifically permitted by us or under this Agreement is strictly prohibited. The licences granted by Wise terminate if you do not comply with these Terms or any other service terms.

2.2 You are fully responsible for ensuring that your usage of the Service and integration of the Wise Forex Widget on your website do not imply any false endorsement, partnership, or affiliation with Wise. Any such representation may result in the immediate termination of these Terms and the cessation of your use of the Service.

3. WHEN YOU CANNOT USE THE SERVICE

3.1 Unless you have received written permission from us, you may not, and may not attempt to, directly or indirectly:

  • use the Service for any commercial, illegal or unauthorized purpose or otherwise infringe our intellectual property rights;
  • transfer, sublicense, loan, sell, assign, lease, rent, distribute or grant rights in the Service to any person or entity;
  • remove, obscure, or alter any notice of any of our trademarks, or other intellectual property appearing on or contained within the Services;
  • modify, adapt, copy, tamper with or otherwise create derivative works of any software included in the Service;
  • reverse engineer, disassemble, or decompile the Service or apply any other process or procedure to derive the source code of any software included in or as part of the Service;
  • use the Service in any manner that could damage, disable, overburden, or impair Wise, the Service, or interfere with any other third party's use of the Service.

4. INTELLECTUAL PROPERTY

4.1 All rights, title and interest in and to any software (including without limitation the website, developer tools, sample source code, and code libraries), data, materials, content and printed and electronic documentation (including any specifications and integration guides) developed, provided or made available by us or our affiliates to you, including content of the website, and any and all technology and any content created or derived from the Services are the exclusive property of Wise and its licensors. The Services are protected by intellectual property rights laws and treaties around the world. All such rights are reserved.

4.2 Wise Trademarks. Wise’s business names, service names, logos, signs, graphics, page headers, button icons, scripts (each as might be amended from time to time) and/or other trademarks are all registered or unregistered trademarks or trade dress of Wise or Wise’s licensors in the relevant jurisdictions (“Wise Trademarks”).

4.3 You may not copy, imitate, modify, or use Wise Trademarks without our prior written consent. You may not alter, modify, or change HTML logos in any way, use them in a manner that mischaracterizes Wise or the Services or display them in any manner that implies Wise’s affiliation, partnership sponsorship or endorsement. Further, you may not use Wise Trademarks and trade dress in connection with any product or service that is not Wise’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Wise.

5. DISCLAIMERS

5.1 The Service is provided on “as is” and “as available” basis and Wise makes no representation or warranty, express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, the completeness, consistency, accuracy, timeliness, or utility of the provided resources, or any information contained herein.

5.2 Wise does not guarantee the accuracy, reliability, or completeness of any information provided by or in the Service.

5.3 We do not guarantee that our Services will always be available or be uninterrupted. We may suspend, withdraw, discontinue, or change all or any part of our Service without notice. We will not be liable to you if for any reason our Services are unavailable at any time or for any period.

5.4 Any display, use or reliance on the Service and/or the information provided is entirely at your own risk, and Wise shall not be liable for any damage or loss incurred by you or any person howsoever arising out. In particular, the information in the Service should not be considered as a financial indication or advice of any sort.

6. PARTIES RESPONSIBILITIES

6.1 Wise shall provide the Service to you free of charge, ensuring its functionality as described at the Wise Forex Widget page and at its discretion offering updates.

6.2 While using the Services, you are responsible for the following:

    6.2.1 using the Service in compliance with these Terms and any applicable laws;
    6.2.2 maintaining the confidentiality of any access credentials;
    6.2.3 not misrepresenting your affiliation with Wise;
    6.2.4 promptly reporting any issues or malfunctions to Wise;
    6.2.5 implementing any updates provided by Wise to ensure continued functionality and security.

7. LIMITATION OF LIABILITY

7.1 In no event shall Wise be liable to you whether in contract, tort (including negligence), breach of statutory duty, equity, misrepresentation (whether innocent or negligent), restitution or otherwise for any all loss of profit, loss of use of money, loss of revenue, loss of contracts, increased costs and expenses, wasted expenditure and all direct or indirect, incidental, consequential, special, punitive or exemplary damages, even if you has knowledge of the possibility of such damages arising from or related to the Service or these Terms.

7.2 To the maximum extent permissible by law, Wise’s total aggregate liability to you for all claims arising out of or in connection with these Terms and/or your use of the Service, whether arising in contract, tort (including negligence), misrepresentation (whether tortious or statutory), breach of statutory duty, or otherwise, shall be limited to a maximum of USD 100 for all claims made in any twelve (12) month period preceding the date of any such claim.

8. INDEMNITY

8.1 You agree to indemnify, defend, and hold harmless Wise, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from (i) your breach of these Terms or violation of applicable laws; (ii) unauthorised use of the Service; (iii) your negligence; (iv) infringement or alleged infringement of a third party's rights (including any intellectual property); (v) misrepresentation of your affiliation with Wise; or (vi) any claim, demand, fine, penalty, action, investigation or proceeding by any third party against Wise caused by your act or omission.

9. DOMAIN BLACKLISTING

9.1 We reserve the right, at our sole discretion, to blacklist any domain from using the Service. If we determine that a domain is unsuitable or violates these Terms, any applicable laws, or regulations, we may restrict or block access to the Service on that domain without prior notice.

9.2 We may, but are not obligated to, notify the owners or administrators of blacklisted domains regarding the restriction or termination of access to the Service.

10. TERMINATION OF THE SERVICE

10.1 Termination by User. You may terminate these Terms by discontinuing use of the Service.

10.2 Termination by Wise. We reserve the right to terminate or suspend your access to the Service at any time, with or without cause or notice, and such termination will be effective immediately. While the Service is provided free of charge, we may terminate its use for any reason, including but not limited to non-compliance with these Terms, misuse of the Service, or if we believe that the use of the Service is detrimental to our interests or the interests of our users.

10.3 Effect of termination. Upon termination by you or us of the Service, you must immediately (i) cease all use of the Service; (ii) remove any implementation of the Service from your website and (iii) delete any copies of the Service in your possession. Continued use of the Service after termination will constitute a breach of these Terms.

11. GENERAL

11.1 Entire Agreement. These Terms supersedes, and extinguishes all previous agreements between you and Wise, whether written or oral, relating to its subject matter.

11.2 Amendments. Wise reserves the right to modify or replace these Terms at any time. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

11.3 No Third Party rights. These Terms are between you and us. Except as expressly provided in these Terms, no other person shall have any rights to enforce any of its terms. Neither of us will need to get the agreement of any other person to end or make any changes to these Terms.

11.4 Severability. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

11.5 Enforcement.Even if we delay in enforcing these Terms, we can still enforce it later. If we delay in asking you to do certain things or taking certain action, it will not prevent us from taking steps against you at a later date.

11.6 Governing Law. These Terms are governed by English law. Any dispute between you and us in connection with the Services and/or these Terms may be brought in the courts of England and Wales.
